Terms of Service

By accessing or using any service provided by Exquisite Software LLC ("Exquisite Software", "we", "us", or "our"), including custom Discord bot design, development, hosting, maintenance, integrations, and support (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Exquisite Software LLC.

Exquisite Software provides custom Discord bot services for communities, creators, teams, and organisations. The Service may include workflow discovery, bot design and development, Discord role and permission automation, moderation tools, onboarding flows, ticket systems, third-party integrations, hosting, maintenance, analytics, and related support.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice provided where practicable.

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

• You must be at least 18 years of age to create an account.
• One person or legal entity may not maintain more than one account without approval.
• You must notify us immediately of any unauthorised use of your account.
• We reserve the right to terminate accounts that violate these Terms.

Bot packages, hosting, and maintenance retainers are billed on a monthly or annual basis depending on the plan selected. All prices are stated in United States Dollars (USD) unless otherwise specified. By providing a payment method, you authorise us to charge you for the applicable subscription fees.

You agree not to use the Service to:

• Violate any applicable law or regulation, including those governing consumer protection and data privacy.
• Distribute illegal, harmful, defamatory, obscene, or otherwise objectionable content.
• Collect or harvest personal data without appropriate consent.
• Interfere with or disrupt the integrity or performance of the Service.
• Circumvent any access control or security mechanisms.
• Misrepresent your identity or affiliation with any person or entity.
• Engage in any activity that could damage, disable, or impair the Service.

We reserve the right to investigate and take appropriate action, including termination of accounts, for violations of this section.

The Service integrates with third-party platforms including Discord, hosting providers, payment processors, APIs, databases, and workflow tools. Your use of those platforms is subject to their respective terms of service and privacy policies. Exquisite Software is not responsible for the acts or omissions of any third-party platform. We do not guarantee uninterrupted access to third-party integrations, as they are subject to change at the discretion of their respective owners.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We commit that community and member data is not sold to third-party advertisers. You retain ownership of all content and data you provide through the Service. By using the Service, you grant us a limited licence to process your data solely for the purpose of providing and improving the Service.

The Service and its original content, features, and functionality are and will remain the exclusive property of Exquisite Software LLC. Our trademarks, service marks, and logos may not be used in connection with any product or service without prior written consent. You retain all rights to content you create or upload through the Service, and you grant us a non-exclusive licence to display and transmit that content as necessary to provide the Service.

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

To the fullest extent permitted by applicable law, Exquisite Software LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service. Our total aggregate liability for any claim arising from these Terms shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim or (b) one hundred US dollars ($100).

You agree to defend, indemnify, and hold harmless Exquisite Software LLC and its officers, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that content you submitted caused damage to a third party.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the state of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

We reserve the right to modify these Terms at any time. We will provide at least 30 days notice of material changes via email or a prominent notice on the Service. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.
